TERMS OF USE OF THE "ZAVERENO" PLATFORM

These Terms of Use (hereinafter referred to as the “Terms”) govern access to and use of the Zavereno web platform and/or mobile application (hereinafter — the “Platform”), which enables legally binding electronic document signing using either a simple electronic signature (SES) via SMS or email or an enhanced unqualified electronic signature (EUES) via the State Services Portal (Gosuslugi).

Please read these Terms carefully before using the Platform. By accessing or using the Platform, you agree to be bound by these Terms.

1. DEFINITIONS

1.1. “Zavereno” Platform — an online service that enables users to sign, exchange, store, and manage legally binding documents using electronic signatures.

1.2. User — an individual or legal entity registered on the Platform to access its services.

1.3. Simple Electronic Signature (SES) — an electronic signature formed by a one-time code (sent via SMS or email) that is uniquely linked to the User and confirms their identity.

1.4. Enhanced Unqualified Electronic Signature (EUES) — an electronic signature obtained through user authorization on the Unified Identification and Authentication System (Gosuslugi).

1.5. Document — any electronic file uploaded or created by the User on the Platform for the purpose of signing.

2. GENERAL PROVISIONS

2.1. The Zavereno Platform provides services for the exchange, storage, and signing of documents using electronic signatures.

2.2. The services are provided in accordance with the legislation of the Russian Federation, including Federal Law No. 63-FZ “On Electronic Signature.”

2.3. The Platform bears no responsibility for the content of the documents prepared and signed by Users.

3. REGISTRATION AND IDENTIFICATION

3.1. To use the Platform, the User must complete a registration process and provide accurate and truthful information.

3.2. User identification may be carried out in the following ways:

  • Via a code sent by SMS or email (for SES);
  • Via authorization on the Gosuslugi portal (for EUES).

3.3. The User is responsible for maintaining the confidentiality of their account and authentication codes.

4. LEGAL FORCE OF SIGNATURE

4.1. Documents signed using SES or EUES have legal force under the laws of the Russian Federation, provided that the parties have agreed to recognize such signatures.

4.2. The Platform records the signing event, including IP address, date and time, signature method, and retains this information in a non-editable format.

4.3. In the event of a dispute, the Platform may provide evidence of the signature, which may be used in court.

5. RIGHTS AND OBLIGATIONS OF THE PARTIES

5.1. The User agrees to:

  • use the Platform for lawful purposes only;
  • provide accurate and up-to-date information;
  • not impersonate others or use unauthorized signatures.

5.2. The Platform undertakes to:

  • ensure the safekeeping and availability of signed documents;
  • maintain compliance with applicable laws of the Russian Federation;
  • process personal data in accordance with the Privacy Policy.

6. PERSONAL DATA

6.1. Personal data is processed in accordance with Federal Law No. 152-FZ “On Personal Data” and the Platform’s Privacy Policy.

6.2. By registering and using the Platform, the User consents to the processing of their personal data.

7. LIMITATION OF LIABILITY

7.1. The Platform shall not be held liable for:

  • the legality or content of documents;
  • losses resulting from unauthorized use of a User’s signature;
  • technical failures not directly caused by the Platform.

8. AMENDMENTS TO TERMS

8.1. The Platform reserves the right to amend these Terms at any time. The updated version takes effect upon publication on the Platform’s website.

8.2. Continued use of the Platform following the publication of amended Terms constitutes acceptance of the changes.

9. GOVERNING LAW AND JURISDICTION

9.1. These Terms shall be governed by and construed in accordance with the laws of the Russian Federation.

9.2. Any disputes arising out of or in connection with these Terms shall be resolved in courts of general jurisdiction located in the Russian Federation.
